Terms & Conditions for Users

1. Introduction

Welcome to IHM Connect. By accessing and using our platform, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our services.

2. Definitions

  • "IHM Connect" refers to the company providing ERP solutions and other business technologies.

  • "User" or "Client" refers to any individual or business that accesses or uses IHM Connect's services.

  • "Services" refer to the ERP solutions, software applications, business analytics, APIs (WhatsApp, SMS, etc.), web development, and other services provided by IHM Connect.

3. User Responsibilities

  • Users must provide accurate and complete information when registering for an account.

  • Users are responsible for maintaining the confidentiality of their login credentials and for all activities under their account.

  • Users agree not to engage in any unlawful, fraudulent, or harmful activities using IHM Connect’s services.

  • Users must not attempt to access, modify, or disrupt any part of the system without authorization.

4. Service Usage

  • IHM Connect grants users a non-exclusive, non-transferable right to use the services strictly as per these Terms & Conditions.

  • Services provided are for business use only and should not be resold or misused.

  • Any misuse of IHM Connect’s services, including spamming, hacking, or unauthorized data access, will result in immediate termination of services and possible legal action.

5. Payments & Subscription

  • Subscription and service fees must be paid as per the agreed pricing plan.

  • Late or failed payments may result in service suspension or termination.

  • All fees are non-refundable except as stated in the Refund Policy.

6. Data Security & Privacy

  • IHM Connect takes data security seriously and follows best industry practices to protect user data.

  • User data will not be shared with third parties except as required by law or with the user’s explicit consent.

  • Users are responsible for safeguarding their data and complying with applicable data protection regulations.

7. Termination of Services

  • IHM Connect reserves the right to suspend or terminate user accounts if there is a violation of these terms.

  • Users may request termination of their accounts, and IHM Connect will process the request while complying with data retention policies.

8. Limitation of Liability

  • IHM Connect is not liable for any indirect, incidental, or consequential damages arising from service usage.

  • In case of service failure, IHM Connect’s liability is limited to the amount paid by the user for the affected service.

9. Changes to Terms & Conditions

  • IHM Connect reserves the right to update these Terms & Conditions at any time.

  • Users will be notified of major updates and are encouraged to review the terms periodically.

       Terms and Conditions for Clients & Businesses

  1. Service Agreement: By signing up for IHM Connect, businesses agree to use our services in accordance with the terms outlined in this agreement. IHM Connect reserves the right to modify or terminate any service at its discretion.

  2. Customization and Implementation: The services provided by IHM Connect are customized based on the individual needs of each client. The timeframe and costs for customization will be agreed upon prior to service implementation.

  3. Payment and Billing: Clients are responsible for making timely payments for services rendered. Late payments may result in service interruption. IHM Connect reserves the right to modify service rates upon prior notice.

  4. Intellectual Property: Any software, tools, or code developed for a client by IHM Connect remain the intellectual property of IHM unless otherwise agreed upon. Clients are granted a non-exclusive, non-transferable license to use the tools provided.

  5. Liability: IHM Connect is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services. While we take every precaution to ensure the security and performance of our solutions, we cannot guarantee 100% uptime or error-free operation.

  6. Termination: Either party may terminate the service agreement with prior notice. Clients are responsible for settling any outstanding payments upon termination.

  7. Service Availability and Maintenance: IHM Connect aims to provide uninterrupted services. However, we may need to perform routine maintenance or emergency updates to ensure the security and stability of our platform. In such cases, we will strive to notify clients in advance, unless it is an urgent situation.

  8. Any planned downtime for maintenance will be scheduled during off-peak hours to minimize disruption to our clients. 

  9. Client Responsibilities: Clients are responsible for providing accurate and complete information necessary for the setup and customization of services. Any delays due to incomplete or incorrect information from the client may affect service timelines.

  10. Clients must maintain the confidentiality of their account login credentials and are responsible for all activities conducted under their account. In case of any suspected unauthorized access, clients are required to notify IHM Connect immediately.

  11. Modifications to Services: IHM Connect reserves the right to modify, upgrade, or discontinue any part of the service offerings, with prior notification to the client. Any such changes will be made to improve the quality of service, enhance security, or ensure compliance with regulatory standards.

  12. If any modification significantly impacts the client’s use of the services, IHM Connect will work closely with the client to minimise any disruptions 

  13. Confidentiality: Both parties agree to maintain the confidentiality of proprietary or sensitive business information shared during the course of the service relationship. This includes, but is not limited to, financial data, technical specifications, business strategies, and customer information.

  14. The obligation of confidentiality will remain in effect for the duration of the service agreement and for a period of two years after its termination. 

  15. Third-Party Integrations: IHM Connect integrates with several third-party services (e.g., payment gateways, SMS providers, cloud platforms). While we ensure these integrations are reliable, we are not liable for any service disruptions or security issues caused by these third-party providers.

  16. Clients agree to comply with the terms and conditions of any third-party service integrated into their IHM platform. 

  17. Force Majeure: IHM Connect is not liable for any failure or delay in performance caused by circumstances beyond our control, including but not limited to natural disasters, war, civil unrest, labour strikes, power outages, or cyberattacks. During such events, we will make every effort to restore services as quickly as possible.                                                                                                                                                                                                                        By using IHM Connect, clients agree to abide by these terms and conditions. These terms provide a clear framework to ensure smooth service delivery, maintain confidentiality, and protect the interests of both IHM Connect and its clients. We are committed to building long-lasting partnerships and helping your business succeed with the right technology solutions.
